These Terms and Conditions ("Terms") govern your use of Quantum Mind AI, the website and AI workspace at quantummind.co.zw (the "Service"), operated by Innovura (Private) Limited, Harare, Zimbabwe ("Innovura", "we", "us"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Who can use the Service

You must be at least 18, or at least 13 with the consent and supervision of a parent or guardian who agrees to these Terms for you. If you use the Service for an organisation, you confirm that you are authorised to accept these Terms on its behalf, and "you" includes that organisation.

2. Your account

Give us accurate information and keep your password safe. You are responsible for everything that happens under your account, including activity by team members you invite. Tell us straight away if you think your account has been used without permission. Accounts are personal and may not be sold or shared outside the team seats included in your plan.

3. Plans, credits and allowances

  • Each plan includes the tools, AI models and monthly allowances (for example words or images) shown on our pricing page or in your reward.
  • Allowances reset each billing month and unused allowances do not roll over, unless your plan says otherwise. Credits bought as top-ups are valid for the period shown when you buy them.
  • Different AI models use your allowance at different rates. Images, audio, video and premium models use more than text on fast models.
  • AI providers release, change and retire models often. If a model in your plan is retired or becomes unavailable, we will replace it with a comparable model where one is available.
  • We apply fair-use limits, including rate limits, to protect the Service for everyone. Usage that is automated, resold without our agreement, or far above normal use for your plan may be limited or suspended.

4. Payments, renewals and refunds

  • Prices are shown in US dollars unless stated otherwise, and may include or exclude taxes as shown at checkout.
  • Paid subscriptions renew automatically at the end of each billing period until you cancel. You can cancel at any time, and your plan stays active until the end of the period you have paid for.
  • Except where the law requires otherwise, fees and used credits are not refundable. If you believe you were charged in error, contact us within 14 days and we will look into it.
  • We may change prices for future billing periods. We will tell you in advance, and you can cancel before the new price applies.

5. Crowdfunding backer rewards

  • Pledges made on Indiegogo are an agreement between you and the campaign creator, Avninder Singh, our project manager in Canada, who is responsible to backers for delivering rewards and handling refunds. Indiegogo processes pledge payments under its own terms, and campaign refunds follow those terms and the refund statement on our campaign page. Innovura provides the Quantum Mind AI service through which rewards are delivered.
  • Backer rewards are months of a Quantum Mind AI plan as described in the reward. Your reward months start on the day you activate your reward on your account, not on the delivery date.
  • Rewards are for the backer's own use (or their team, for team rewards), cannot be exchanged for cash, and do not renew automatically. When your reward months end, you may choose to continue on a paid plan.
  • Apart from the terms stated in the reward, the use of rewards is governed by these Terms.

6. Acceptable use

You must not use the Service to:

  • break any law, or help anyone else to do so;
  • create, request or share sexual content involving minors, or content that exploits or endangers children in any way;
  • harass, threaten, defame or discriminate against anyone, or incite violence;
  • create malware, phishing material, spam or other content designed to deceive or harm people or systems;
  • impersonate a real person or organisation, or present AI-generated content as human-created where that would mislead people to their harm;
  • infringe anyone's copyright, trademark, privacy or other rights;
  • process other people's personal information without a lawful basis;
  • attempt to access accounts or systems you are not authorised to use, probe or overload the Service, or get around usage limits;
  • break the usage policies of the AI model providers whose models you use through the Service.

Students must follow their school or university's rules on AI use. We may remove content, limit features or suspend accounts that break these rules.

7. Your content and AI output

  • You keep ownership of the prompts, files and other material you submit. As between you and us, you also own the output the Service generates for you, to the extent the law allows.
  • You give us permission to store, process and transmit your content, including to AI model providers, only as needed to provide and protect the Service.
  • AI output can be inaccurate, incomplete, out of date or similar to output generated for other users. Check it before you rely on it. It is not professional advice, including legal, medical, financial or tax advice.
  • You are responsible for how you use output, including making sure it does not infringe anyone's rights.

8. Third-party services

The Service relies on third-party providers, including AI model providers, hosting, payment and email services. Their availability and terms are outside our control, and some features may change or stop if a provider changes or withdraws its service.

9. Our intellectual property

The Service, including its software, design, logos and the Quantum Mind AI name, belongs to Innovura or its licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the Service for as long as your account is active. You may not copy, resell or reverse-engineer the Service.

10. Availability and changes

We work to keep the Service available, but we do not guarantee that it will be uninterrupted, error-free or available at any particular time. We may change, add or remove features. If we make a change that significantly reduces a paid plan you are on, we will tell you in advance.

11. Suspension and termination

You can close your account at any time. We may suspend or close your account if you break these Terms, if your use creates risk or legal exposure for us or others, or if we have to by law. Where reasonable, we will warn you first. If we close the Service entirely, we will give reasonable notice and refund the unused part of any prepaid subscription.

12. Disclaimers and limitation of liability

To the extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind. Innovura is not liable for indirect or consequential losses, lost profits, lost data or business interruption, and our total liability to you for any claim relating to the Service is limited to the amount you paid us in the three months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law.

13. Indemnity

You agree to compensate Innovura for claims, losses and costs arising from your content or your breach of these Terms, to the extent the law allows.

14. Changes to these Terms

We may update these Terms. We will post the new version here with a new effective date and, if the changes are significant, tell you by email or in the Service before they take effect. If you keep using the Service after that, you accept the updated Terms.

15. Governing law

These Terms are governed by the laws of Zimbabwe, and the courts of Zimbabwe have jurisdiction over any dispute, without affecting any rights you have under the consumer laws of the country you live in. Before going to court, please contact us so we can try to resolve the issue.
